ACO Service Terms of Service

These Terms of Service (the "ACO Terms") are a binding agreement between you and SHOPWITHIVAN LLC, a Virginia limited liability company, doing business as ("d/b/a") NaviACO governing the NaviACO automated-checkout service. Please read carefully. When you sign up for or use the service, at all times, you agree to these ACO Terms.

THESE ACO TERMS CONTAIN A PAYMENT AUTHORIZATION (SECTION 4), AN ASSUMPTION OF RISK (SECTION 3A), LIMITATIONS OF LIABILITY (SECTION 6), AND A BINDING ARBITRATION AGREEMENT WITH A CLASS-ACTION AND JURY-TRIAL WAIVER (SECTION 18). IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Definitions

For purposes of these ACO Terms, the following definitions apply:

  • "NaviACO" — The Automated Checkout service operated by SHOPWITHIVAN LLC, doing business as NaviACO.
  • "ACO" (Automated Checkout) — The automated purchasing service provided by NaviACO, which uses software and bot technologies to complete purchases on your behalf at supported retailers.
  • "PAS" (Pay After Success) — The service fee charged by NaviACO only after a Successful Checkout is confirmed. PAS fees may vary by product, retailer, or drop and are disclosed at the time of signup or invoice.
  • "Successful Checkout" — An order that is placed and receives an order confirmation number from the retailer. A Successful Checkout triggers PAS obligations, subject to the cancellation waiver in Section 5.
  • "Profile" — The collection of personal information, payment details, and retailer account credentials you submit to NaviACO for use in automated checkout operations.
  • "Runner/Staff" — Authorized NaviACO personnel who manage checkout operations, profile setup, and customer support.
  • "Invoice" — A bill issued by NaviACO for PAS fees owed due to Successful Checkouts, including itemized details and payment due date.
  • "Invoice Reminder" — A notification sent via Discord and/or email informing you of a pending PAS balance and payment due date.
  • "Payment Method on File" — A card or payment method you have provided to NaviACO through sign-up forms or other intake methods, which is used for automated checkout operations at retailers and which you authorize for PAS fee collection and invoice payment.
  • "Supported Retailers" — The retail websites and platforms for which NaviACO offers automated checkout services, as determined by NaviACO at its sole discretion.
  • "Opt-Out Request" — A formal request to pause or stop your profile from being run, submitted through the designated bot command (/aco profiles) or official support ticket.

2. User Agreement

Please review the following carefully. If you do not accept these ACO Terms, do not sign up for the service. If you choose to sign up, you agree to abide by all of the terms and conditions of this agreement, and you are solely responsible for your use of the service and for ensuring your use fully complies with this agreement, applicable law, and third-party terms.

Your purchase of the service constitutes your explicit agreement that your purchase is for a non-tangible, electronically provided service. By using the ACO service you allow us to use your information to check out the item provided. The only fee and cost of using our service will be the PAS (Pay After Success).

n9vi (formerly known as NAVI#0001) is not responsible for any unwanted or unauthorized charges. Sensitive profile inputs (e.g., payment credentials, retailer account credentials) are removed from active checkout systems after you request to stop being run or after service completion, except where retention is required for billing, dispute resolution, fraud prevention, or legal/compliance purposes as described in Section 7.6.

By providing your information for the ACO service, you agree to these rules. Breaking the rules will result in a permanent ban from this service.

By submitting your information and requesting services, you authorize NaviACO to securely store your Payment Method on File and charge it for any unpaid balances related to completed services. If payment is not received within 48 hours of the time the Invoice Reminder is sent, you agree that the stored Payment Method on File may be charged automatically for the total amount due. Billing disputes relating to PAS amounts should be raised prior to service delivery when possible; otherwise within 7 days as described in Section 18.1.

3. Eligibility & Authorized Use

By using NaviACO services, you represent and warrant that:

  • You are at least 18 years of age and can form a legally binding contract, or you have obtained verifiable parental or guardian consent to use this service and enter into this agreement.
  • You have the legal authority to use any payment method you submit to NaviACO. You must only submit payment methods that you own or are expressly authorized to use.
  • You have the legal authority to access and use any retailer accounts you submit to NaviACO. You must only submit retailer account credentials for accounts that you own or are expressly authorized to use.
  • All information you provide to NaviACO is accurate, complete, and not misleading.
  • You are not submitting accounts or payment methods that are banned, limited, flagged, or otherwise restricted by any retailer.
  • You are not located in, or a national or resident of, any country or on any list subject to U.S. embargo or sanctions, and you will not use the service for any unlawful purpose.
  • You are responsible for ensuring your use of NaviACO and your retailer accounts complies with each retailer's terms of service and all applicable laws. NaviACO is not responsible for any consequences arising from your violation of retailer terms or applicable law.

Submitting payment methods or retailer accounts that you do not own or are not authorized to use is strictly prohibited and may result in immediate termination and referral to appropriate authorities.

3A. Assumption of Risk & Acknowledgment of Retailer Terms

You acknowledge and agree that automated purchasing carries inherent risks and that you knowingly and voluntarily assume those risks. In particular:

  • Retailer terms. Using automation, bots, and/or your accounts to purchase at retailers may be restricted by, or violate, a retailer's or platform's terms of service, policies, or anti-bot measures. You direct and authorize NaviACO to act on your behalf with knowledge of this, and you — not NaviACO — are responsible for that risk and for your relationship with each retailer.
  • Possible outcomes. Automated checkout may result in order cancellations, refused or reversed orders, retailer account restrictions, suspensions, or bans, declined or reversed payments, price or availability changes, and delays. NaviACO does not guarantee any outcome.
  • No investment or resale advice; no value guarantee. NaviACO does not provide investment, financial, tax, or legal advice, and does not guarantee that any item, points, or market value will hold, appreciate, or be resellable. Any resale, tax, and profit/loss consequences are yours alone.
  • Your responsibility. You are solely responsible for ensuring your accounts, conduct, and use of purchased items comply with applicable laws and third-party terms, and for any taxes arising from your activity.

4. Consent to Automated Checkout Services

4.1 Form Submission & Authorization

By submitting any NaviACO sign-up form, profile form, or providing your personal information through any NaviACO intake method, you expressly consent to and authorize the following:

  • Automated Purchasing — You authorize NaviACO to use your submitted information (including retailer account credentials, payment card information, billing address, shipping address, phone number, and email address) to execute automated purchases on your behalf using third-party automation software, bots, and checkout tools.
  • Software & Bot Usage — You understand and agree that NaviACO uses automated software, scripts, and bot technologies to perform checkout operations, and consent to your personal and payment information being processed through these automated systems to complete purchases at Supported Retailers.
  • Retailer Account Access — You authorize NaviACO to access, log into, and perform actions on your retailer accounts using the credentials you provide, including adding items to cart, applying payment methods, and completing checkout transactions.
  • Third-Party Tool Integration — You acknowledge that NaviACO may use various third-party automation tools and software to deliver services, and consent to your information being processed through such tools solely to execute checkouts on your behalf.
  • Data Conversion — You acknowledge that information submitted through sign-up forms is collected, processed, and converted into data formats compatible with automation software and bots for the purpose of executing checkout services.

4.2 Payment Method Authorization (Stored Credential)

By submitting payment card information to NaviACO, you authorize NaviACO to store your card as a credential on file and to charge it as follows, and you agree this is your affirmative consent to a stored-credential, on-file arrangement:

  • Dual-Purpose Authorization — Your Payment Method on File serves two purposes: (1) to complete automated purchases at retailers on your behalf, and (2) to collect PAS fees and unpaid invoice balances owed to NaviACO.
  • Amount & timing. Charges are variable: PAS fees are determined as described in Section 5 (they vary by product, retailer, and drop) and are charged after a Successful Checkout and/or if an Invoice remains unpaid after 48 hours from the Invoice Reminder. Each applicable amount is disclosed on the relevant Invoice or at signup.
  • Unpaid Invoice Collection — If an invoice remains unpaid after 48 hours from the time the Invoice Reminder is sent, NaviACO may charge any Payment Method on File for the total outstanding balance without further notice.
  • Multiple Payment Methods — If you have submitted multiple Payment Methods on File, you authorize NaviACO to charge any or all of them to satisfy outstanding balances owed.
  • Revocation. This authorization remains in effect until all outstanding balances are paid in full and you have formally requested removal of your payment information from our systems, subject to any pending transactions or invoices. You may request removal as described in Section 7.7; removal ends future stored-credential charges but does not cancel obligations already incurred.

5. Pay After Success (PAS)

NaviACO assesses service fees based on a Pay-After-Success (PAS) system. This fee is only charged once a Successful Checkout is confirmed. PAS fees may vary by product, retailer, or drop and are disclosed at the time of signup or on the invoice.

Cancellations. If an order is cancelled by the retailer prior to shipment, and you provide proof of cancellation, the PAS fee will be waived. Customer-initiated modifications (such as address changes, item substitutions, or quantity adjustments) do not constitute cancellations and do not waive PAS fees. Acceptable proof may include a retailer cancellation email, an order status page showing cancellation, or other documentation reasonably requested by NaviACO. Proof can be submitted via screenshot sent to staff in our Discord or direct messaged to n9vi on Discord.

If a Successful Checkout is confirmed, you will be contacted within 24 hours and an Invoice Reminder will be sent. PAS must be paid within 48 hours of the time the Invoice Reminder is sent. Failure to do so within this time frame will result in a permanent ban from our services as well as the missed fee amount charged to your Payment Method on File.

Once an order ships from the retailer, liability for the order from that point on is between the recipient and the retailer. The PAS fee will not be refunded once an order is shipped due to issues between the retailer and the recipient.

5.1 Refund Policy

PAS fees are non-refundable once an order has shipped from the retailer. No refunds, credits, or adjustments will be issued for PAS fees after shipment confirmation, regardless of any subsequent issues between you and the retailer (including but not limited to delivery issues, damaged items, returns, or retailer-initiated refunds). Your sole recourse for post-shipment issues is directly with the retailer.

5.2 PAS Pricing Discretion & Market Adjustments

PAS fees are dynamic and may change at any time based on market conditions, product demand, retailer behavior, checkout difficulty, operational costs, or risk factors. NaviACO reserves sole discretion to determine when a change in market conditions warrants an adjustment to PAS pricing. PAS pricing is not guaranteed to remain consistent across different drops, restocks, time periods, or products, and prior PAS rates do not establish precedent or guarantee future pricing. The applicable PAS fee for any Successful Checkout is the rate disclosed at the time the Invoice is issued or otherwise communicated for that checkout.

6. Liability

NaviACO is not liable for information submitted to our services being banned, limited, or flagged from any retailer we run on. We take reasonable measures to help prevent this.

If you submit information knowing the account/information was banned, limited, or flagged, you may be subject to fees from NaviACO for the waste in resources/time, as submitting such information will likely lead to cancellation of orders.

For scheduled releases — Once you submit a profile, you may opt out from the release up to one hour before the scheduled drop time. Once the release falls within the hour, we are unable to cancel your service and you may be subject to PAS fees if we achieve a Successful Checkout. Opt-Out Requests must be submitted via the /aco profiles bot command or an official support ticket to be recognized.

For random restocks — Once you submit a profile, you may opt out at any time before the agreed-upon quantity is checked out. Your Opt-Out Request will be processed within 24 hours of submission. Any Successful Checkouts that occur within this processing window will still require PAS payment. Opt-Out Requests must be submitted via the /aco profiles bot command or an official support ticket to be recognized.

In the unlikely event that NaviACO checks out the wrong item or size, NaviACO is not liable and will not assess a PAS fee for the inconvenience. NaviACO may attempt to assist with cancellation in such cases, but cannot guarantee retailer cancellation success.

Automation disclaimer. You acknowledge that automated checkout services carry inherent risks, including retailer account restrictions, order cancellations, payment declines, and website/policy changes. NaviACO is not liable for any adverse consequences resulting from the use of automated checkout tools on your accounts.

No guarantee. NaviACO does not guarantee successful checkouts, delivery times, order acceptance by retailers, or availability of products. All services are provided on a "best efforts" basis.

As is / as available. Except as expressly stated in these ACO Terms, services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

6.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • NaviACO shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the service, including loss of profits, data, business opportunities, resale value, or goodwill, even if a remedy fails of its essential purpose.
  • NaviACO's total aggregate liability for any claims arising from these ACO Terms or the service shall not exceed the total amount of PAS fees you have paid to NaviACO in the twelve (12) months preceding the claim.
  • NaviACO shall not be liable for damages arising from unauthorized access to or alteration of your data, unless caused by NaviACO's gross negligence or willful misconduct.

6.2 Data Security Limitation

NaviACO implements reasonable security measures to protect your data, including access controls limiting data to authorized personnel only. However, NaviACO shall not be liable for indirect, incidental, or consequential damages arising from unauthorized access, data breaches, or security incidents affecting third-party platforms (including Discord, retailers, or service providers) unless such breach is caused directly by NaviACO's gross negligence. You acknowledge that no method of electronic storage or transmission is 100% secure.

6.3 Force Majeure

NaviACO shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond NaviACO's reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemic, internet or telecommunications failures, Discord outages, retailer website changes or outages, CAPTCHA implementations, anti-bot measures, payment processor outages, power failures, or third-party software failures.

6.4 Indemnification

You agree to defend, indemnify, and hold harmless NaviACO and its operators, members, and personnel from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the service, your Profile or submitted information, your violation of these ACO Terms or any law, or your violation of any retailer's or third party's terms or rights.

7. Data Collection & Privacy

Your use of the service is also subject to our Privacy Policy. The following describes how the ACO service handles your data.

7.1 Information We Collect

By using NaviACO services, submitting sign-up forms, and using the Discord bot commands (/aco profiles, /aco checkouts, /aco invoices), you acknowledge and consent to the collection of:

  • Personal Identifiers — Discord User ID; Discord Username and Display Name; Profile name(s) you create.
  • Contact Information — Email address(es) associated with retailer accounts; phone number (last 4 digits stored for verification; full number may be collected for checkout requirements).
  • Payment Information — Payment card information and billing details required for checkout and billing collection (processed and stored to perform checkouts and, with our payment processor, to collect PAS); last 4 digits displayed for identification/verification in user-facing interfaces.
  • Address Information — Shipping address (city, state, and full address as needed for checkout).
  • Retailer Account Information — Retailer account credentials (stored for checkout automation); account status and history with Supported Retailers.
  • Service Usage Data — Checkout history and order details; invoice history and payment status; profile status (Running, Paused, Pending Setup, Update Requested, etc.); timestamps of service interactions.

7.2 How We Use Your Information

  • Service Delivery — To execute automated checkouts on your behalf at Supported Retailers using automation software and bots.
  • Bot Data Conversion — To convert your submitted form information into data formats compatible with checkout automation software.
  • Account Management — To manage your Profiles, track checkout history, and process invoices.
  • Communication — To notify you of Successful Checkouts, order cancellations, required actions, and Invoice Reminders via Discord direct messages and email to the address on file, including automated notifications related to PAS billing and invoices.
  • Billing & Payment Collection — To generate invoices, track payment status, process PAS fees, and charge Payment Methods on File for outstanding balances.
  • Support — To assist with troubleshooting, disputes, and service inquiries.
  • Service Improvement — To analyze usage patterns and improve our automation systems.

7.3 Data Storage

Your information is stored in access-controlled systems used to deliver the service. Information submitted through sign-up forms (including payment card information) is collected and processed into the data needed to run automated checkouts. Storage systems are protected by authentication and access controls, accessible only to authorized NaviACO staff (Runners and administrators), subject to review and maintenance, and used solely for the purposes described in these ACO Terms. You acknowledge that your payment card information is stored and used for the dual purposes of (1) executing automated checkouts at retailers and (2) collecting PAS fees or unpaid invoice balances, accessible to authorized NaviACO staff as necessary to perform these functions. We work to minimize sensitive-data exposure and restrict access to what is necessary to deliver the service.

7.4 Masked Data Display

Certain Profile data may be displayed in a masked or obscured format (e.g., partial email addresses, last 4 digits of payment cards or phone numbers) to the associated user account for verification and security purposes, to protect sensitive information while still allowing you to identify and manage your Profiles.

7.5 Data Sharing

NaviACO does not sell, rent, or trade your personal information to third parties for marketing purposes, and does not share it for cross-context behavioral advertising. Your information may be accessed by or shared with: NaviACO Staff (Runners and administrators who manage checkout operations and support); Automation Systems (third-party software and bot tools used to execute checkouts on your behalf); Service Providers (platforms used for data management, communication, and operational purposes); and Retailers (your provided information is submitted to retailers solely to complete checkouts on your behalf).

7.6 Data Retention

  • Active Profiles — Data is retained for as long as your Profile remains active.
  • Sensitive Credentials — Payment card information and retailer account credentials are removed from active checkout systems after you request to stop being run or after service completion, except that payment card information may be retained for billing purposes until all outstanding balances are settled.
  • Checkout History — Retained indefinitely for billing verification and dispute resolution.
  • Invoice Records — Retained for a minimum of 2 years for accounting and dispute purposes.
  • Payment Information for Billing — May be retained until all outstanding PAS fees and invoices are paid in full and you request removal.
  • Deleted Profiles — Upon a Profile deletion request, your Profile data will be removed from active systems within 7 business days, provided all outstanding invoices are settled. Historical checkout and invoice records may be retained for billing and legal purposes.

7.7 Your Data Rights

  • Access — View your stored Profile information, checkout history, and invoices via /aco profiles, /aco checkouts, and /aco invoices.
  • Correction — Request corrections to inaccurate Profile information by submitting an update request through the bot or contacting staff.
  • Deletion — Request deletion of your Profile(s) through the /aco profiles menu, subject to settlement of outstanding invoices, completion of pending checkout operations, and retention of historical records for billing and legal verification.
  • Opt-Out — Pause or stop your Profiles from being run at any time via Opt-Out Request, subject to Section 6.
  • Payment Method Removal — Request removal of Payment Methods on File after all outstanding balances are paid in full.
  • Additional privacy rights (including under U.S. state privacy laws and the GDPR) are described in our Privacy Policy.

8. Confidentiality & Staff Access

NaviACO staff access to user data is limited to what is operationally necessary to deliver services, manage profiles, execute checkouts, and provide support. All staff are prohibited from disclosing, sharing, or using user data for any purpose other than the performance of their authorized duties. Unauthorized disclosure of user data by staff is a violation of NaviACO policy and may result in termination of the staff member and other appropriate action.

9. Bot Features & Usage

9.1 /aco profiles

View all Profiles associated with your Discord account; see Profile status; request Profile updates (card, phone, address changes); request Profile deletion; submit Opt-Out Requests; and view assigned Runner and machine information. By using it, you acknowledge that your Profile information is stored in our secure database systems, authorized staff (Runners) have access to your Profile details for service delivery, Profile changes may take up to 24 hours to process, and deletion requests are subject to outstanding balance settlement.

9.2 /aco checkouts

View your checkout history across all retailers; see order details including product, quantity, price, and status; track Successful Checkouts, cancellations, and declines; and access order IDs. By using it, you acknowledge that checkout records are logged and retained for billing and verification, checkout notifications are sent via Discord direct message, checkout data may be used for service analytics and improvement, and Successful Checkouts generate PAS fee obligations under Section 5.

9.3 /aco invoices

View pending and historical invoices; see itemized checkout details per invoice; track payment status and due dates; and access payment instructions and support. By using it, you acknowledge that invoices are generated automatically based on Successful Checkouts, invoice data is retained for accounting and dispute resolution, failure to pay invoices within the specified timeframe results in the consequences in Section 5, and you authorize NaviACO to charge any Payment Method on File for unpaid balances as outlined in Sections 2, 4, and 5.

10. Communication & Notifications

By using NaviACO services, you consent to receive the following via Discord and email: Checkout Notifications; Invoice Reminders; Profile Updates; Service Announcements; Manual Checkout Alerts; and Email Notifications sent to the address on file for PAS notifications, invoice reminders, payment confirmations, and other service-related communications. Service-related communications may be sent via multiple channels, and failure to receive or review a notification does not relieve you of payment obligations. You may not opt out of transactional communications (checkout notifications, invoices) while actively using the service.

11. Account Security

You are responsible for maintaining the security of your Discord account and any credentials provided to NaviACO. Notify NaviACO immediately if you suspect unauthorized access to your account or Profiles. NaviACO is not responsible for losses resulting from compromised Discord accounts or credentials you control. Do not share your Profile information or checkout notifications with unauthorized parties.

12. Non-Transferability & Assignment

NaviACO services are non-transferable and tied exclusively to the Discord account that submitted the original sign-up form or Profile information. You may not sell, transfer, assign, or share your service access, Profiles, or account privileges. You may not assign or transfer any rights or obligations under these ACO Terms without NaviACO's prior written consent, and any attempted assignment in violation of this section is null and void. NaviACO may assign or transfer these ACO Terms, in whole or in part, without restriction and without notice.

13. Independent Contractor & Limited Authorization

Nothing in these ACO Terms creates a partnership, joint venture, or employment relationship between you and NaviACO; NaviACO performs services as an independent contractor. You authorize NaviACO to act on your behalf solely for the limited purpose of executing checkout actions you request (logging into your retailer accounts, adding items to cart, applying payment methods, and completing purchases). This limited authorization does not create a general agency relationship, and NaviACO has no authority to act on your behalf for any purpose beyond the specific checkout services described herein.

14. Intellectual Property

All NaviACO branding, logos, bot software, automation tools, user interfaces, embeds, spreadsheets, documentation, and other materials are the exclusive property of NaviACO and protected by applicable intellectual property laws. You agree not to: copy, reproduce, modify, or create derivative works of any NaviACO materials; reverse engineer, decompile, or disassemble any NaviACO software or systems; use NaviACO branding, logos, or materials without prior written permission; or share, distribute, or publicly display NaviACO proprietary systems or methods. This license to use NaviACO services is limited, non-exclusive, non-transferable, and revocable at NaviACO's discretion.

15. Prohibited Conduct

You agree not to: provide false, inaccurate, or misleading information; submit payment methods or retailer accounts you do not own or are not authorized to use; knowingly submit banned, limited, or flagged retailer accounts; attempt to circumvent PAS fees or payment obligations; share, sell, or transfer access to NaviACO services; interfere with or disrupt the service or its systems; use the service for any illegal purpose; dispute legitimate charges with your payment provider without first contacting NaviACO; submit chargebacks for authorized transactions without prior dispute resolution through NaviACO; or attempt to copy, reverse engineer, or replicate NaviACO systems or methods. Violation may result in immediate termination of service, forfeiture of any pending orders, and collection of all outstanding balances.

16. Service Availability

NaviACO strives to maintain consistent service availability but does not guarantee uninterrupted access. Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. NaviACO is not liable for missed checkouts due to service unavailability, retailer changes, or technical issues. Scheduled maintenance will be announced in advance when possible.

17. Modifications to Terms

NaviACO reserves the right to modify these ACO Terms at any time. Changes will be announced via Discord and/or the website and updated on this document with a revised "Last Updated" date. Continued use of the service after changes constitutes acceptance of the modified terms. Material changes affecting data usage or billing will be communicated with reasonable notice.

18. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE IN COURT AND TO A JURY TRIAL.

18.1 Informal Resolution

All disputes should first be raised with NaviACO staff via Discord or email at shopwithivanco@gmail.com. Disputes regarding checkouts must include proof (screenshots, order confirmations, etc.) and must be raised within 7 days of the transaction in question. You agree to attempt to resolve any dispute informally by contacting NaviACO, and to negotiate in good faith for at least 60 days, before initiating any formal proceeding. This is a condition precedent to arbitration.

18.2 Binding Arbitration & Delegation

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these ACO Terms or the use of NaviACO services shall be resolved through final and binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in the Commonwealth of Virginia, United States, or may be conducted remotely at the arbitrator's discretion, and the arbitrator's decision shall be final and binding. This arbitration agreement is governed by the Federal Arbitration Act. The arbitrator has exclusive authority to decide questions about the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court decides the enforceability of the class-action and jury-trial waiver in Section 18.3.

18.3 Class Action & Jury-Trial Waiver

YOU AND NAVIACO AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING, WHETHER AS A PLAINTIFF, CLASS MEMBER, OR OTHERWISE, AND EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court.

18.4 Mass Arbitration

If 25 or more similar arbitration demands are filed by or with the coordination of the same or coordinated counsel, the demands will be administered in staged batches of up to 50 at a time (with any bellwether procedures the administrator provides), and applicable limitations periods are tolled for demands awaiting their batch.

18.5 Exceptions & 30-Day Opt-Out

Notwithstanding the above, either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights or confidential information. You may opt out of this arbitration agreement by emailing shopwithivanco@gmail.com within 30 days of first accepting these ACO Terms, with your name, account, and the words "Arbitration Opt-Out." To the extent permitted by law, any claim must be filed within one (1) year after it arises or it is permanently barred.

18.6 Chargebacks & Payment Disputes

Filing a chargeback or payment dispute with your bank or payment provider without first attempting resolution through NaviACO constitutes a violation of these ACO Terms. NaviACO reserves the right to pursue collection of disputed amounts, terminate your access, and report suspected fraudulent chargebacks to appropriate authorities.

19. Governing Law & Jurisdiction

These ACO Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law principles. Subject to the arbitration provisions in Section 18, any legal action or proceeding arising out of or relating to these ACO Terms shall be brought exclusively in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of such courts.

20. Termination & Right to Refuse Service

NaviACO reserves the right to terminate your access at any time for: violation of these ACO Terms; non-payment of invoices; fraudulent or abusive behavior; filing unauthorized chargebacks; or any reason at NaviACO's sole discretion. NaviACO may also refuse service, pause profiles, or limit access at any time to protect operational integrity, prevent abuse, or comply with platform policies, with or without prior notice. Upon termination: outstanding invoices remain due and payable; NaviACO retains the right to charge any Payment Method on File for outstanding balances; access to bot commands and services will be revoked; and Profile data may be retained for billing and legal verification purposes.

21. Severability & Waiver

If any provision of these ACO Terms is held invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, it shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed, and the remaining provisions shall continue in full force and effect. Our failure to enforce any provision is not a waiver of it.

22. Entire Agreement

These ACO Terms, together with the Terms of Use, the Privacy Policy, and any other policies or guidelines referenced herein, constitute the entire agreement between you and NaviACO regarding the use of our services and supersede all prior agreements, representations, and understandings, whether written or oral. NaviACO Discord server rules, policies, PAS rate sheets, and published guidelines are incorporated by reference and form part of these ACO Terms. These ACO Terms are entered into between you and SHOPWITHIVAN LLC, doing business as NaviACO.

24. Acknowledgment & Consent

By using NaviACO services — including submitting sign-up forms, providing personal or payment information, or using /aco profiles, /aco checkouts, or /aco invoices — you expressly acknowledge and agree that: you have read, understood, and agree to these ACO Terms in their entirety; you meet the eligibility requirements in Section 3; you knowingly assume the risks described in Section 3A, including that automated purchasing may violate retailer terms; you are responsible for ensuring your use complies with retailer terms and applicable law; you consent to the collection, storage, processing, and use of your data as described herein and in the Privacy Policy; you authorize NaviACO to use your submitted information (including payment card information) to execute automated purchases using software, bots, and automation tools; you authorize NaviACO to store your card as a credential on file and to charge any Payment Method on File for checkout transactions, PAS fees, and unpaid invoice balances; you understand and consent to the dual-purpose use of your payment information for both retailer checkouts and NaviACO billing collection; you understand that NaviACO uses automated systems and third-party tools; you understand that NaviACO does not guarantee successful checkouts and provides services on a "best efforts" and "as is" basis; you agree to resolve disputes through binding arbitration on an individual basis and waive your right to participate in class actions and to a jury trial (subject to your right to opt out); you agree to abide by all terms and NaviACO server rules and policies incorporated by reference; you are at least 18 years of age or have parental/guardian consent; you understand that NaviACO is a third-party service and is not affiliated with, endorsed by, or sponsored by any retailers; and you accept full responsibility for any consequences arising from the use of automated checkout services on your accounts.

Your submission of any form or continued use of NaviACO services constitutes your binding agreement to these terms.
